I am the Head of the Company Commercial Department and an experienced solicitor acting for owner/managers of SMEs through to directors of large global operations, providing advice and assistance on corporate transactions, commercial contracts, security and banking.

My areas of work

Working in private practice for over 24 years, together with 2 years in-house, I have extensive experience of acting for SMEs and Owner/Managers in M&A corporate transactions and advising and drafting contracts including shareholders' agreements, cross-option agreements and loan agreements. I also advise businesses on commercial contracts including franchise agreements, distribution agreements, commercial agents agreements, e-commerce and IT-related contracts, NDAs and general trading T&Cs.  In addition, I advise commercial clients on Partnership Deeds and LLP Agreements.

In addition I am also an FA Registered Lawyer with experience in acting for professional footballers in contract negotiations with professional football clubs.

My recent successes

Advising on the sale of the entire issued capital of a company in the electronic POS sector for £2m.

Ongoing commercial contract advise to UK/EU/American based-group in the orthopedic rehabilitation industry.

Advising on the part sale and purchase and group restructure of an Anglo-American group in the industrial lubricants sector.

Advising on the sale of 50% equity in movies props sector for £1.3m.

Ongoing commercial contract advice to a rapid growth company in the technology sector linked to health care and pharmaceuticals.

Advising on the sale of 10% equity of wealth management company for £2m.

Sale of the entire issued share capital of a motor vehicle design company to overseas investors for £10m. 

Completion on behalf of the management team of a £3m (enterprise value) MBO.

Ongoing commercial contract advice acting on behalf of a multi-national corporate client expanding its enterprise into new sectors.

My previous experience

Prior to relocating to the South East in 2008, I worked in Manchester for 16 years with roles in commercial law firms and latterly a corporate boutique, including experience acting in M&A private equity transactions, AIM placings, Icelandic-UK retail acquisitions and assisting banks in corporate funding and refinancing.  Transaction values ranged from £1m to £350m.

My interests and hobbies

Outside of the office I spend time with my family and when time permits follow most sports, in particular the fortunes of Ipswich Town FC, Northampton Saints RFC, Dallas Cowboys and Northants CCC.  I keep fit with a weekly early morning 10km run and I also play regular 5-a-side matches and fair weather golf.
